ProposalAI is operated by Kerr & Company LLC DBA Outlier ("Company", "we", "us", or "our"), a Michigan limited liability company. By accessing or using ProposalAI ("Service"), you agree to be bound by these Terms of Service.
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be at least 18 years old to use the Service.

Paid plans are billed in advance on a monthly or annual basis. Payments are processed securely via Stripe. By providing payment information, you authorize us to charge your payment method for the applicable subscription fee. All fees are stated in USD and are non-refundable except as required by law or as described in our refund policy.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We reserve the right to suspend or terminate accounts that violate these Terms.
Proposals generated through ProposalAI are created with AI assistance. While we strive for accuracy and quality, AI-generated content may contain errors or omissions. You are responsible for reviewing all proposals before sending them to clients. AI-generated outputs are clearly labeled within the application.
You retain ownership of any content you provide as input. The Company retains rights to the Service, its underlying technology, and any improvements. Proposals generated using the Service may be used by you for your business purposes.
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service. Our total liability to you shall not exceed the amounts you have paid to us in the twelve months preceding the claim.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Kent County, Michigan.
We may update these Terms at any time. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.
